1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User"), and the Z-Image team ("we," "us," or "our"), concerning your access to and use of the zimage.net website (the "Site") and the Z-Image open-source image generation models (the "Models").

By accessing or using the Site or Models, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or Models.

2. Description of Service

Z-Image is an open-source, efficient image generation model with 6 billion parameters, designed to deliver photorealistic image generation on consumer hardware. We provide:

• Open-Source Models: Z-Image-Base, Z-Image-Turbo, and Z-Image-Edit, released under the Apache 2.0 License.
• Online Demo: A web-based interface to try Z-Image models online.
• Documentation and Resources: Guides, tutorials, and technical documentation to help you use Z-Image.
• Community Support: Access to community forums and resources.

3. License and Intellectual Property

3.1 Open Source License

The Z-Image model weights, code, and related materials are released under the Apache 2.0 License. This means you are free to:

• Use the Models for personal, academic, or commercial purposes
• Modify and create derivative works
• Distribute the Models and your modifications
• Use the Models in proprietary software

You must comply with the Apache 2.0 License terms, including providing attribution and including a copy of the license with any distribution.

3.2 Website Content

Unless otherwise indicated, the Site content (excluding the Models), including text, graphics, logos, and software, is our proprietary property or licensed to us. This content is protected by copyright, trademark, and other intellectual property laws.

3.3 Trademarks

"Z-Image" and related logos are trademarks. You may not use these trademarks without our prior written permission, except as necessary to comply with the Apache 2.0 License attribution requirements.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of the Site, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach

4.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Z-Image and the Site for lawful purposes, including:

• Generating images for personal, creative, or commercial projects
• Research and development in AI and machine learning
• Educational purposes and academic research
• Building applications and services that incorporate Z-Image

5.2 Prohibited Activities

You agree NOT to use Z-Image or the Site to:

• Generate NSFW or Adult Content: Produce, generate, or distribute any content that is sexually explicit, pornographic, adult-oriented, or otherwise constitutes "Not Safe For Work" (NSFW) material. This includes, but is not limited to, explicit sexual acts, nudity in a sexual context, and sexually suggestive material involving minors (CSAM).
• Generate Illegal Content: Create content that violates any applicable law or regulation.
• Generate Harmful Content: Produce content that is threatening, abusive, harassing, defamatory, vulgar, or invasive of privacy.
• Create Deepfakes: Generate misleading or deceptive content intended to impersonate real individuals without consent.
• Infringe Rights: Violate intellectual property rights, privacy rights, or other rights of third parties.
• Spread Misinformation: Create content designed to spread false information or propaganda.
• Generate CSAM: Create, distribute, or possess child sexual abuse material. We have a zero-tolerance policy for CSAM and will report any violations to relevant authorities.
• Engage in Hate Speech: Produce content that promotes violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics.
• Circumvent Security: Attempt to bypass, disable, or interfere with security features of the Site or Models
• Automated Abuse: Use bots, scrapers, or automated tools to access the Site in a manner that creates excessive load or disrupts service
• Reverse Engineer: Attempt to reverse engineer, decompile, or extract the underlying algorithms of our hosted services (note: the open-source Models themselves are freely available)

6. Content and Generated Images

6.1 Your Content

You retain all rights to the prompts you input and the images you generate using Z-Image. We do not claim ownership of your generated content.

6.2 Content Storage

• Local Usage: If you run Z-Image locally, all content remains on your device. We do not have access to it.
• Online Demo: Content generated through our online demo may be temporarily stored to provide the service. We do not use your content for model training or other purposes without your explicit consent.

6.3 Content Responsibility

You are solely responsible for the content you generate and any consequences of sharing or distributing it. We are not liable for any content created using Z-Image.

7. Disclaimer of Warranties

THE SITE AND MODELS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability: The Models will meet your specific requirements
• Fitness for a Particular Purpose: The Models are suitable for your intended use
• Non-Infringement: Use of the Models will not infringe third-party rights
• Accuracy: Generated images will be accurate, reliable, or error-free
• Availability: The Site or online services will be uninterrupted or error-free

Z-Image is a generative AI model and may produce unexpected, inaccurate, or biased outputs. You should review and verify all generated content before use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
• Lost Profits: Loss of profits, revenue, data, or business opportunities
• Content Liability: Any damages arising from content you generate using Z-Image
• Third-Party Actions: Actions taken by third parties based on content you create
• Service Interruptions: Damages resulting from unavailability or interruption of the Site or Models

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED $100 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless Z-Image and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site or Models
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you generate or distribute using Z-Image
• Your violation of any applicable laws or regulations

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by:

• Posting the updated Terms on the Site with a new "Last Updated" date
• Sending an email notification to registered users (if applicable)

Your continued use of the Site or Models after changes are posted constitutes your acceptance of the updated Terms.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Site or any part of our services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of services.

13. Termination

13.1 Termination by You

You may stop using the Site or Models at any time. If you have an account, you may delete it by contacting us.

13.2 Termination by Us

We may suspend or terminate your access to the Site if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to us, other users, or third parties.

13.3 Effect of Termination

Upon termination, your right to use the Site will immediately cease. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Z-Image operates, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Site shall be resolved through:

1. Informal Negotiation: First, contact us to attempt to resolve the dispute informally
2. Arbitration or Litigation: If informal resolution fails, disputes may be resolved through binding arbitration or litigation, as determined by applicable law

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and Models.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

16. Open Source Community

We encourage community contributions to Z-Image! If you:

• Report bugs or issues
• Submit pull requests or improvements
• Share your generated images or use cases
• Contribute to documentation

You agree that your contributions may be incorporated into Z-Image under the Apache 2.0 License.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use or export the Models in violation of any applicable laws.
